Panda Pay Terms & Conditions
These Terms & Conditions form a legally binding agreement between you and Panda Pay. Please read them carefully before using the Panda Pay app, website, or any related services.
By accessing or using the Panda Pay mobile application, website, or any related products or services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Services.
1. Introduction & Acceptance of Terms
These Terms are a legal agreement between you ("you" or "your") and Radiant Union LLC, doing business as Panda Pay ("Panda Pay," "we," "us," or "our"), a Florida limited liability company in Florida, USA, governing your use of the Services, including the Panda Pay app, our website at pandapay.money, and any features, content, or tools we make available.
By creating an account, linking a financial account, using Cash Flex™ ("Cash Flex"), or otherwise using the Services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, you must stop using the Services.
PANDA PAY IS A FINANCIAL TECHNOLOGY PLATFORM. PANDA PAY IS NOT A BANK, LENDER, OR CREDIT PROVIDER. PANDA PAY DOES NOT OFFER LOANS, LINES OF CREDIT, OR ANY OTHER FORM OF CREDIT.
Definitions
For purposes of these Terms:
- "Services" means the Panda Pay mobile applications, website, and related tools, features, and content that we provide.
- "Cash Flex" is a feature that provides eligible users with temporary cash flow support up to $100. Cash Flex is not a loan. Panda Pay does not charge interest or late fees. See Section 8 for full details on eligibility, delivery, and returns.
- "Financial Insights" is a financial budgeting feature that provides users with data-driven tools to categorize and analyze their spending activity. The feature offers categorized transaction data, spending summaries, and cash flow visibility based on information from users' connected bank accounts. Panda Pay does not provide financial advice, investment advice, or financial education through the Financial Insights feature.
- "User Content" means any information, data, text, images, or other materials that you submit, upload, or otherwise provide through the Services, including support messages and feedback.
2. Eligibility
To use the Services, you must:
- Be at least 18 years old (or the age of majority in your state of residence).
- Be a legal resident of the United States.
- Have the legal capacity and authority to enter into a binding contract.
- Not be prohibited from using the Services under applicable law.
We may ask you to verify your identity and eligibility and may deny or restrict access to the Services if we cannot confirm that you meet these requirements.
3. Changes to These Terms
We may update or modify these Terms from time to time. When we do, we will revise the "Last updated" date below and provide advance notice of material changes via email or in-app notification.
Your continued use of the Services after the effective date of any changes means you accept the updated Terms. If you do not agree to a material change, you may close your account before the effective date without penalty. Non-material changes (such as clarifications, formatting, or typographic corrections) may take effect when posted.
4. Privacy Policy
Our collection, use, and sharing of information about you is described in our Privacy Policy, which is incorporated into these Terms by reference. You can review the current Privacy Policy at pandapay.money/privacy.
By using the Services, you acknowledge that you have read and understand our Privacy Policy and agree that we may collect, use, and share your information as described there.
5. User Accounts
To access certain features of the Services, you must create and maintain an account. You agree to provide accurate, complete, and up-to-date information when creating your account and to promptly update that information if it changes.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account has been compromised, you must notify us promptly at support@pandapay.money.
We reserve the right to close, suspend, or restrict your account if we suspect unauthorized activity, misuse of the Services, or a violation of these Terms.
6. Services Overview
Panda Pay offers financial budgeting tools, including Financial Insights for tracking and analyzing your spending, Cash Flex for temporary cash flow support, and account notifications.
The availability of Cash Flex and other features may vary by state or jurisdiction and may be subject to additional eligibility criteria, verification steps, and limits that we may update from time to time.
Cash Flex is not available to residents of California, Connecticut, Hawaii, Kansas, Maryland, Missouri, Nevada, Utah, or Washington, D.C. Availability, features, and terms may vary depending on your state of residence.
We may add, modify, suspend, or discontinue any part of the Services at any time, with or without notice, as we improve the product and respond to business, technical, or legal changes. We will try to notify you of material changes that affect your ability to use core features like Cash Flex.
7. User Data and Third-Party Integrations
Certain features require you to connect a bank account using third-party partners (currently Plaid Inc.). By linking an account, you authorize Panda Pay and our partners to access, use, and retain information about that account as described in our Privacy Policy. For details on what data is accessed and how it is used, see our Privacy Policy.
We do not control and are not responsible for the accuracy or completeness of information provided by your bank or other third parties. You acknowledge that account balances, transaction details, and other data may be delayed or incomplete and that you should not rely on the Services as the sole source of truth for your financial records.
You may unlink accounts at any time from within the app. If you unlink an account, we will stop receiving new data from that account, but we may retain existing records as permitted by our Privacy Policy and applicable law.
8. Cash Flex and Financial Features
Cash Flex is a feature offered through the Services that provides eligible users with temporary cash flow support. Eligibility for Cash Flex depends on factors such as your account history, activity, and other criteria that we may establish and update over time. We are not obligated to make Cash Flex available to any user.
Cash Flex amounts are up to $100 and are typically limited to one (1) active Cash Flex at a time, subject to eligibility and other limits shown in the Services.
CASH FLEX IS NOT A LOAN, LINE OF CREDIT, OR ANY OTHER FORM OF CREDIT. PANDA PAY IS NOT LENDING YOU MONEY. THERE IS NO OBLIGATION TO REPAY. CASH FLEX IS NON-RECOURSE.
Panda Pay warrants that it has no legal or contractual claim against you in the event Cash Flex funds are not returned, and you are not legally required to return Cash Flex funds.
Panda Pay will never sell, assign, or transfer any claim related to an unreturned Cash Flex amount to any third party, and will never refer any unreturned Cash Flex amount to a collection agency. Panda Pay will not report return or non-return of Cash Flex to any consumer reporting agency (Equifax, Experian, TransUnion, or any other). We do not charge interest or late fees on Cash Flex. Panda Pay does not perform credit checks in connection with Cash Flex.
Receiving Your Cash Flex
Once you confirm Cash Flex, Panda Pay will initiate a transfer of the Cash Flex amount to your linked bank account. Delivery time depends on your bank and the transfer method selected.
By confirming Cash Flex, you authorize Panda Pay to deposit the Cash Flex amount into your linked bank account via electronic credit (ACH credit or other method).
Cancellation
If you change your mind after confirming Cash Flex but before the funds have been deposited, contact us immediately at support@pandapay.money to request cancellation. Once funds have been deposited, Cash Flex cannot be canceled, but you may return funds at any time by contacting support.

9. Fees & Subscription
Your Panda Pay Bank Connection Fee is a recurring subscription that automatically renews until canceled. Current subscription pricing, billing frequency, and trial period details are displayed in the app at the time of enrollment and may be updated from time to time with advance notice.
Auto-Renewal: Your subscription will automatically renew at the then-current fee and billing frequency until you cancel. You will be charged on each renewal date unless you cancel before that date.
Cash Flex eligibility is determined separately and is not guaranteed by payment of the Bank Connection Fee.
How to Cancel: You may cancel your subscription at any time through the Panda Pay app by navigating to Profile > Bank Account > Cancel Subscription, or by contacting us at support@pandapay.money. Cancellation is processed immediately and you will receive a confirmation. To avoid being charged for the next billing cycle, cancellation requests should be submitted before your next scheduled charge date, which is displayed in the app.
Effect of Cancellation: Upon cancellation, you will lose access to Cash Flex and other features that require an active bank connection. Cancellation does not affect any pending scheduled returns for active Cash Flex amounts.
Refund Requests: Subscription fees are generally non-refundable. However, if you believe a charge was made in error or have extenuating circumstances, you may contact us at support@pandapay.money and our team will review your request and determine whether a refund is appropriate on a case-by-case basis.
California Residents: In accordance with California's automatic renewal law (Business and Professions Code §§ 17600-17606), current subscription terms including pricing, billing frequency, and cancellation policy are clearly disclosed in the app before you are charged.

10. User Conduct
You agree to use the Services only for lawful purposes and in compliance with these Terms.
You may not, and you agree not to:
- Use the Services to violate any law, regulation, or third-party right.
- Provide false, inaccurate, or misleading information.
- Attempt to gain unauthorized access to the Services or related systems.
- Interfere with or disrupt the operation of the Services.
- Reverse engineer, decompile, or disassemble any part of the Services, except where permitted by law.
- Use the Services to engage in fraudulent, deceptive, or abusive conduct.
11. Intellectual Property Rights
The Services, including all software, text, graphics, logos, trademarks, and other content, are owned by Panda Pay or our licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your personal, non-commercial use. You may not copy, modify, distribute, sell, or create derivative works from the Services or any content without our prior written permission.
12. Termination and Suspension
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive behavior, or created risk or possible legal exposure for Panda Pay, our users, or others.
You may stop using the Services at any time and may request that we close your account. Closing your account or losing access to the Services may result in loss of access to future Cash Flex and other features.
Sections that by their nature should survive termination (including, without limitation, dispute resolution, intellectual property, limitation of liability, and indemnification) will continue to apply after your account is closed or your access to the Services ends.
Upon account closure, Panda Pay will delete or de-identify your personal data, except where we are required to retain certain information under applicable law or regulation. 13. ACH and Electronic Fund Transfer Authorization
By linking your bank account and using Panda Pay services, you authorize electronic debit and credit entries as described in our Payment Authorization Agreement. That agreement, which is incorporated into these Terms by reference, describes the types of transactions we are authorized to initiate, your rights under the Electronic Fund Transfer Act (Regulation E) — including stop payment, revocation, error resolution, and liability limits — and how failed debits are handled.
14. Disclaimers of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, or free from errors, viruses, or other harmful components, or that any defects will be corrected. Your use of the Services is at your own risk.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANDA PAY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE THREE MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
We are not responsible for any acts or omissions of third parties, including banks, payment processors, network providers, or other service providers.
This limitation of liability does not apply to claims arising under statutes that prohibit contractual limitation of remedies, including claims under the Electronic Fund Transfer Act.
16. Indemnification
You agree to defend, indemnify, and hold harmless Panda Pay and our affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of another person or entity.
17. Arbitration and Dispute Resolution
You and Panda Pay agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration, rather than in court. Either party may bring a qualifying claim in small claims court instead of arbitration.
Informal Resolution First: Before filing an arbitration claim, you and Panda Pay agree to attempt to resolve any dispute informally. The party raising the dispute must send a written description of the claim, including supporting facts and the requested relief, to the other party. For claims against Panda Pay, send your notice to support@pandapay.money. We will attempt to resolve the dispute within 60 days of receiving notice. If the dispute is not resolved within 60 days, either party may proceed with arbitration.
Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at adr.org/consumer. The arbitrator shall have exclusive authority to resolve any dispute relating to the enforceability or applicability of this arbitration agreement, including the question of whether a dispute is subject to arbitration. Arbitration will be held in a location reasonably convenient for you, or by written, telephonic, or electronic submissions where permitted.
Fees: Panda Pay will pay all AAA filing, administration, and arbitrator fees for claims seeking less than $10,000. For claims of $10,000 or more, the AAA Consumer Arbitration Rules govern fee allocation. In all cases, you will not be required to pay fees that exceed the fees you would have incurred in court.
YOU AND PANDA PAY EACH WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING.
30-Day Opt-Out Right: If you do not wish to be bound by this arbitration agreement, you must notify us in writing within 30 days after you first accept these Terms by emailing support@pandapay.money with the subject "Arbitration Opt-Out" and including your name and the email address associated with your account. If you opt out, you will still be bound by all other provisions of these Terms.
18. Governing Law
These Terms and any disputes arising out of or relating to them or the Services are governed by the laws of the State of Florida, without regard to its conflict-of-law principles, except as otherwise required by applicable law.
Subject to the arbitration agreement above, any legal action that is not subject to arbitration will be brought exclusively in the state or federal courts located in Florida, and you and Panda Pay consent to the personal jurisdiction of those courts.
19. Notices
We may provide notices to you electronically, including by email, in-app messaging, or posting within the app or on our website. Notices are deemed received when we send or post them.
You may provide notices to us by emailing support@pandapay.money. We may request additional information from you as needed to verify your identity and understand your notice.
20. General Provisions
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy and any additional terms or disclosures we provide for specific features, constitute the entire agreement between you and Panda Pay regarding the Services and supersede any prior agreements or understandings on the same subject.
