Panda Pay Terms & Conditions
These Terms & Conditions form a legally binding agreement between you and Panda Pay. Please read them carefully before using the Panda Pay app, website, or any related services.
By accessing or using the Panda Pay mobile application, website, or any related products or services (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Services.
1. Introduction & Acceptance of Terms
These Terms are a legal agreement between you ("you" or "your") and Panda Pay LLC ("Panda Pay," "we," "us," or "our"), a Pennsylvania limited liability company in Pennsylvania, USA, governing your use of the Services, including the Panda Pay app, our website at pandapay.money, and any features, content, or tools we make available.
By creating an account, linking a financial account, requesting a cash advance, or otherwise using the Services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, you must stop using the Services.
Definitions
For purposes of these Terms:
- "Services" means the Panda Pay mobile applications, website, and related tools, features, and content that we provide.
- "Cash Advances" means short-term advances or similar short-term cash flow features that may be made available through the Services.
- "User Content" means any information, data, text, images, or other materials that you submit, upload, or otherwise provide through the Services, including support messages and feedback.
2. Eligibility
To use the Services, you must:
- Be at least 18 years old (or the age of majority in your state of residence).
- Be a legal resident of the United States.
- Have the legal capacity and authority to enter into a binding contract.
- Not be prohibited from using the Services under applicable law.
We may ask you to verify your identity and eligibility and may deny or restrict access to the Services if we cannot confirm that you meet these requirements.
3. Changes to These Terms
We may update or modify these Terms from time to time. When we do, we will revise the "Last updated" date below and may provide additional notice, such as by email, in-app message, or posting a banner in the app or on our website.
Unless otherwise stated, changes take effect when they are posted. Your continued use of the Services after the effective date of any changes means you accept the updated Terms. If you do not agree to the changes, you must stop using the Services and may request that we close your account.
4. Privacy Policy
Our collection, use, and sharing of information about you is described in our Privacy Policy, which is incorporated into these Terms by reference. You can review the current Privacy Policy at pandapay.money/privacy.
By using the Services, you acknowledge that you have read and understand our Privacy Policy and agree that we may collect, use, and share your information as described there.
5. User Accounts
To access certain features of the Services, you must create and maintain an account. You agree to provide accurate, complete, and up-to-date information when creating your account and to promptly update that information if it changes.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you believe your account has been compromised, you must notify us promptly at support@pandapay.money.
We reserve the right to close, suspend, or restrict your account if we suspect unauthorized activity, misuse of the Services, or a violation of these Terms.
6. Minimum Technology Requirements
To use the Services, you must have a compatible device, a current version of the Panda Pay app (if applicable), and reliable internet access. You are responsible for any fees charged by your mobile carrier, internet service provider, or other third parties in connection with your use of the Services.
You are responsible for keeping your devices and software updated and secure. We are not responsible for any failure of the Services caused by your device, operating system, connectivity, or third-party services.
7. Services Overview
Panda Pay offers tools designed to help you manage short-term cash flow, including access to small, short-term cash advances ("Cash Advances") and related features such as spending insights and account notifications.
The availability of Cash Advances and other features may vary by state or jurisdiction and may be subject to additional eligibility criteria, verification steps, and limits that we may update from time to time.
We may add, modify, suspend, or discontinue any part of the Services at any time, with or without notice, as we improve the product and respond to business, technical, or legal changes. We will try to notify you of material changes that affect your ability to use core features like Cash Advances.
8. User Data and Third-Party Integrations
Certain features of the Services require you to connect a bank account or other financial account using third-party partners that provide secure connections to financial institutions. By linking an account, you authorize Panda Pay and our partners to access, use, and retain information about that account as described in our Privacy Policy and as needed to provide the Services.
We do not control and are not responsible for the accuracy or completeness of information provided by your bank or other third parties. You acknowledge that account balances, transaction details, and other data may be delayed or incomplete and that you should not rely on the Services as the sole source of truth for your financial records.
You may unlink accounts at any time from within the app. If you unlink an account, we will stop receiving new data from that account, but we may retain existing records as permitted by our Privacy Policy and applicable law.
9. Cash Advances and Financial Features
Cash Advances are short-term advances offered through the Services. Eligibility for a Cash Advance depends on factors such as your account history, activity, and other criteria that we may establish and update over time. We are not obligated to approve any Cash Advance request.
Cash Advances are generally between $50 and $300 and are typically limited to one (1) outstanding Cash Advance at a time, subject to eligibility and other limits shown in the Services. Cash Advances are not loans or credit and are non-recourse. Panda Pay warrants that it has no legal or contractual claim against you based on a failure to repay a Cash Advance, and you are not legally required to repay a Cash Advance. Panda Pay does not engage in collections, sell unpaid amounts to third parties, or report unpaid amounts to consumer reporting agencies. We do not charge interest or late fees on Cash Advances. If a Cash Advance is not repaid, the primary consequence is that you may lose access to future Cash Advances and/or certain Services.
When you accept a Cash Advance, the Services will display an expected repayment date. You may choose to repay at any time (including before the expected repayment date). You also authorize Panda Pay and our payment partners to initiate one or more electronic debits from your linked bank account in the amount of the Cash Advance on or after the expected repayment date (or earlier at your direction), as further described below.
10. Fees & Payments
To access certain features of the Services, you must link a bank account and agree to pay a recurring bank connection fee of $4.99 every two (2) weeks. This fee helps maintain your connected account and supports continued access to the Services.
Your first bank connection fee will be charged seven (7) days after you successfully link your bank account. After the initial charge, the fee will automatically renew every two (2) weeks until canceled.
By linking your bank account and accepting the bank connection fee terms in the app, you authorize Panda Pay and our payment partners to initiate recurring electronic debits from your linked bank account in the amount of $4.99 every two (2) weeks. This authorization remains in effect until you cancel.
You may cancel at any time by unlinking your bank account in the app's Settings. To avoid being charged for the next billing cycle, you must unlink your account at least twenty-four (24) hours before the next scheduled debit. After cancellation, you will lose access to certain features that require a linked bank account.
Payment of the bank connection fee does not guarantee approval for a cash advance. Eligibility is determined separately based on factors described in Section 9.
If a scheduled debit fails or is returned due to insufficient funds, a closed account, or any other reason, we may attempt to process the debit again. You are responsible for any fees imposed by your financial institution, including overdraft or returned item fees.
11. Authorization to Debit Linked Accounts
By linking a bank account to the Services, you authorize Panda Pay and our payment partners to initiate electronic credits and debits to and from that account as necessary to:
- Deliver Cash Advances or other funds you request.
- Process debits you authorize in connection with a Cash Advance.
- Correct errors or process chargebacks or reversals.
You provide this authorization when you link your account and, for debits related to a Cash Advance, when you accept a Cash Advance. You may revoke authorization at any time by unlinking your bank account or by contacting us at support@pandapay.money. After you revoke authorization, we will stop initiating new debits to the extent reasonably practicable, but revocation may limit or prevent your ability to use certain Services (including requesting future Cash Advances).
You are responsible for any fees or charges imposed by your financial institution in connection with these debits or credits, including overdraft fees, insufficient funds fees, or returned item fees.
If a debit related to a Cash Advance is returned or fails, we may make additional debit attempts as authorized.
12. User Conduct
You agree to use the Services only for lawful purposes and in compliance with these Terms.
You may not, and you agree not to:
- Use the Services to violate any law, regulation, or third-party right.
- Provide false, inaccurate, or misleading information.
- Attempt to gain unauthorized access to the Services or related systems.
- Interfere with or disrupt the operation of the Services.
- Reverse engineer, decompile, or disassemble any part of the Services, except where permitted by law.
- Use the Services to engage in fraudulent, deceptive, or abusive conduct.
13. Intellectual Property Rights
The Services, including all software, text, graphics, logos, trademarks, and other content, are owned by Panda Pay or our licensors and are protected by copyright, trademark, and other intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your personal, non-commercial use. You may not copy, modify, distribute, sell, or create derivative works from the Services or any content without our prior written permission.
14. Termination and Suspension
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive behavior, or created risk or possible legal exposure for Panda Pay, our users, or others.
You may stop using the Services at any time and may request that we close your account. Closing your account or losing access to the Services may result in loss of access to future Boosts and other features.
Sections that by their nature should survive termination (including, without limitation, dispute resolution, intellectual property, limitation of liability, and indemnification) will continue to apply after your account is closed or your access to the Services ends.
15. Disclaimers of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, or free from errors, viruses, or other harmful components, or that any defects will be corrected. Your use of the Services is at your own risk.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANDA PAY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES.
TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE THREE MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
We are not responsible for any acts or omissions of third parties, including banks, payment processors, network providers, or other service providers.
17. Indemnification
You agree to defend, indemnify, and hold harmless Panda Pay and our affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of another person or entity.
18. Arbitration and Dispute Resolution
You and Panda Pay agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration, rather than in court, except that you may pursue claims in small claims court if they qualify.
YOU AND PANDA PAY EACH WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. Arbitration will be conducted by a neutral arbitrator under applicable consumer arbitration rules and held in a location reasonably convenient for you, or by written or electronic submissions where permitted.
If you do not wish to be bound by this arbitration agreement, you must notify us in writing within 30 days after you first accept these Terms, using the contact information below. If you opt out, you will still be bound by all other provisions of these Terms.
19. Governing Law
These Terms and any disputes arising out of or relating to them or the Services are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles, except as otherwise required by applicable law.
Subject to the arbitration agreement above, any legal action that is not subject to arbitration will be brought exclusively in the state or federal courts located in Pennsylvania, and you and Panda Pay consent to the personal jurisdiction of those courts.
20. Notices
We may provide notices to you electronically, including by email, in-app messaging, or posting within the app or on our website. Notices are deemed received when we send or post them.
You may provide notices to us by emailing support@pandapay.money. We may request additional information from you as needed to verify your identity and understand your notice.
21. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
22. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms or disclosures we provide for specific features, constitute the entire agreement between you and Panda Pay regarding the Services and supersede any prior agreements or understandings on the same subject.
